These are the rules for using TableCash: you must be 18 or older and a U.S. resident, contributions go through Stripe directly to the table organizer, only the organizer can approve money leaving a table, and TableCash never holds or transmits funds.

Welcome to TableCash. TableCash is operated by TableCash LLC. By using our mobile application, you agree to these Terms of Service ("Terms"). Please read them carefully as they contain important information about your legal rights.
1. Acceptance of Terms
By downloading, installing, or using TableCash, you agree to be bound by these Terms. If you do not agree, do not use the app.
Third-Party Agreements
By using TableCash, you also agree to be bound by Stripe's Connected Account Agreement and the Stripe Services Agreement, which govern the payment processing and fund custody services provided through TableCash. These agreements are available at https://stripe.com/legal/connect-account. In the event of a conflict between these Terms and Stripe's agreements, Stripe's agreements shall govern with respect to payment processing and fund custody matters.
2. Description of Service
TableCash is a group fundraising and collection platform that allows designated organizers ("Table Creators") to collect contributions from participants for a stated purpose.
2.1 How It Works
A Table Creator creates a table with a stated purpose (e.g., "Rent for the Beach House," "Birthday Gift for Mom")
Contributors chip in directly to the table by card or Apple Pay
The Table Creator controls all distributions from the table
All table members can see the balance and transaction history
Tables do not expire. A table with no activity for 150 days becomes dormant (it stops accepting new chip-ins and leaves the active list); no money moves, the money stays in the Creator's account, and the Creator can reactivate the table or cash out at any time
2.2 Agency Relationship
The Table Creator is the payee. Contributions to a table are deemed received by the Table Creator upon successful payment.
TableCash acts as the limited collection agent for the Table Creator, facilitating receipt of contributions on the Creator's behalf through Stripe. Funds are held by Stripe Payments Company (a licensed money services provider) in the Creator's Stripe Connected Account, not by TableCash, pending the Creator's instructions for distribution.
All distributions from a table are made at the sole direction of the Table Creator, including via per-member limits set by the Creator (e.g., request limits and how often a member can request).
TableCash does not exercise independent control or discretion over table funds. We execute the Table Creator's instructions.
2.3 Important Disclosures
Real Money: TableCash involves real U.S. dollars. Contributions and distributions are actual financial transactions.
Fund Custody: Funds are held by Stripe Payments Company (SPC), a licensed money services provider, on behalf of the Table Creator. TableCash does not hold, possess, or control your funds.
Creator Control: The Table Creator has sole authority over distributions. Only contribute to tables managed by people you trust.
Purpose-Driven: Every table must have a stated purpose. This purpose is visible to all members and is part of the transaction record.
Not a Bank: TableCash is not a bank, savings institution, or licensed money transmitter. Funds held in Stripe Connected Accounts are not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other federal or state government agency.
No Guarantee: We do not guarantee the actions of Table Creators or other table members. You are responsible for evaluating whom you contribute to.
3. Eligibility
3.1 Requirements
To use TableCash, you must:
Be at least 18 years old
Be a U.S. resident
Not be a resident of New York (TableCash is not currently available to New York residents)
Have a valid phone number
Be capable of entering into a binding contract
Not be prohibited from using financial services under applicable law
TableCash is not currently available to residents of New York. We may add or remove states from availability as our licensing and regulatory status changes.
3.2 Identity Verification
We may require identity verification (KYC) through Stripe to:
Comply with financial regulations
Prevent fraud and money laundering
Enable certain features or transaction limits
4. Account Registration
4.1 Account Security
Keep your verification codes confidential
You are responsible for all activity under your account
Notify us immediately of unauthorized access at support@tablecash.io
4.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
5. Financial Terms
5.1 Contributions
Contributions are payments made directly to a table for its stated purpose
Contributions are processed by Stripe via card or Apple Pay
Funds are credited to the table upon successful payment
Minimum contribution: $1.00. Maximum table balance: $10,000 (default $2,500). Individual and daily contribution limits may apply based on account verification level
Contributions are deemed received by the Table Creator upon successful payment processing
Contributions are non-refundable at the contributor's request. Once a contribution is successfully processed, you cannot reverse it through TableCash. The Table Creator may, at their sole discretion, issue a refund to a contributor. TableCash does not mediate refund requests between contributors and creators. However, TableCash reserves the right to refund a contribution at any time if required by fraud detection, regulatory compliance, or a payment dispute.
5.2 Settlements and Distributions
TableCash uses a ledger-based settlement model. Contributions are received by the Table Creator's Stripe Connected Account. When a table member requests money from the table:
The member submits a request through the app
The Table Creator reviews and approves or denies the request
Approved settlements are paid by the Creator directly to the member off-platform (e.g., via Venmo, Cash App, or PayPal)
The Creator marks the settlement as completed in the app, and the table's ledger balance is updated accordingly
TableCash does not initiate, process, or guarantee off-platform settlement payments. The Creator is solely responsible for fulfilling approved settlement requests.
5.3 Creator Payouts
Table Creators may withdraw funds from their own Stripe Connected Account to their linked bank account:
All creator payouts require the Creator to initiate the withdrawal
Processing time: Standard (2-3 business days) or Instant (within 30 minutes). See Fee Schedule below for rates.
Instant payouts unlock 30 days after account creation, or 7 days for ID-verified accounts (a fraud-prevention measure). Standard payouts are available from day one.
Minimum payout: $1.00
Creator payouts reduce the table's available balance
5.3A Contribution Hold Period
Each chip-in is subject to a hold period before those specific funds become available for cash out. The hold begins when the chip-in is received, not when the Creator requests a withdrawal:
Unverified accounts: 7-day hold per chip-in
ID-verified accounts: 2-day hold per chip-in
This is a rolling window. Only chip-ins newer than the hold period are locked. Older contributions that have cleared the hold are available for immediate cash out. Once the hold clears, the Creator may withdraw via standard transfer (2-3 business days) or instant transfer (~30 minutes). Identity verification is completed through Stripe Identity (see Section 3.2). The applicable hold and available balance are displayed before you confirm a cash out.

The contribution fee is added on top of your contribution: the table receives your full contribution amount, and your card is charged the contribution plus the fee (plus the round-up tip, if you leave it on). The exact card total is displayed before you confirm. Payout fees are deducted from the withdrawal amount and displayed before confirmation. We reserve the right to modify fees with 30 days notice.
5.5 Table Dormancy
Tables do not expire and are never closed on a timer
A table with no activity for 150 days becomes dormant: it stops accepting new chip-ins and is moved out of the active list
Going dormant moves no money. Any balance stays in the Table Creator's Stripe Connected Account, and the Creator can cash out at any time, whether the table is active or dormant
The Table Creator can reactivate a dormant table at any time, which lets members chip in again
We notify the Creator before a table becomes dormant so there is time to reactivate it
A table can only be deleted when its balance is $0; a table holding money can never be deleted
5.6 Taxes
You are responsible for any taxes owed on your transactions
We may issue tax forms (e.g., 1099-K) as required by law
Consult a tax professional for advice on your specific situation
5.7 Chargebacks & Disputes
If you initiate a chargeback or payment dispute with your bank or card issuer for a contribution you made to a table:
Your account will be immediately frozen
Because your contribution was a Destination Charge to the Table Creator's Stripe Connected Account, Stripe will debit the disputed amount (plus any dispute fee) from that Connected Account, which may leave the Creator's account with a negative balance (see Section 8A)
If TableCash refunds, advances, or otherwise covers the disputed amount, you are responsible for repaying it
All associated identifiers (email, phone number, device, and identity fingerprint if you have completed identity verification) will be permanently banned from the platform
If you previously completed identity verification, a one-way cryptographic identifier derived from your verified identity will be used to prevent you from creating new accounts on the platform
Chargeback abuse is treated as fraud and may be referred to law enforcement
We reserve the right to pursue legal action to recover losses from fraudulent chargebacks
If you believe a charge was made in error, contact us at support@tablecash.io before filing a dispute with your bank.
Creator notice — you bear contributor chargeback losses. Because every contribution is a Destination Charge to your Stripe Connected Account, a chargeback filed by *a contributor* is debited from *your* Connected Account — not the contributor's — even if you have already sent that money to a member off-platform or cashed it out to your bank. This can leave your account with a negative balance for which you are personally liable (see Section 8A). A chargeback may be filed by the contributor's bank up to several months after the contribution, which can be longer than the contribution hold period in Section 5.3A. Only accept contributions from people you know and trust, and keep funds in your table until you are confident a contribution will not be disputed.
5.8 Funds Availability
Contributions are generally credited to the table's balance within minutes of successful payment
We reserve the right to hold, delay, or reverse transactions that are flagged for fraud review
Suspicious or high-risk transactions may be subject to additional verification before funds are released
We may freeze funds if required by law, regulation, or to protect users from fraud
When a Table Creator sets a table to repeat (a "recurring table"), a member may opt in to automatic contributions ("autopay") so their share is charged each time a new cycle starts. Autopay follows the table's repeat schedule; members do not set their own schedule.
5.9.1 Authorization
By turning on autopay, you authorize TableCash to charge your saved card your share each time a new cycle starts for that table, plus any applicable card processing fee, until you cancel
The amount basis (your current share), the table's schedule, and the cancellation terms are displayed before you confirm; your consent and the exact wording shown are recorded at opt-in
Autopay is available only after you have made at least two manual contributions to that table with a saved card
Like one-time contributions, each automatic charge is a Destination Charge to the Table Creator's Stripe Connected Account. Funds are held by Stripe Payments Company on the Creator's behalf; TableCash does not hold, possess, route, transmit, or control your funds at any point
5.9.2 When Your Share Changes
If your share goes up, autopay stops and asks you first. You are never automatically charged more than the amount you agreed to; you may re-enable autopay at the new amount
If your share goes down, the lower amount applies automatically to future cycles
5.9.3 Advance Notice, Statement Descriptor, and Receipts
By default you receive a heads-up notice before each automatic charge; you may turn this notice off in table settings
Charges appear on your card statement with the descriptor TABLECASH\* followed by the table name
You receive a receipt after each successful charge
5.9.4 Pauses and Failures
Autopay pauses automatically if your account is frozen or suspended, or if the table is closed
If a charge fails, we may retry it once; after repeated failures autopay pauses and you will be asked to pay your share manually — a failed charge is never marked paid
5.9.5 Cancellation
You may cancel autopay at any time from the table screen, effective immediately; no further charges will be made after cancellation
You may also cancel by contacting us at support@tablecash.io, and we will honor the cancellation
Cancelling does not refund charges already processed (see Section 5.1)
5.10 AI Features (TableCash Plus)
Tables unlock AI features through a paid subscription called TableCash Plus: a bill scanner (reads a photo of a bill to help fill in a goal) and an AI planner (turns a described intention into suggested plans).
5.10.1 What You're Buying
It is a flat-price subscription, sold through the Apple App Store, that enables AI features on the tables you choose. It is never a percentage of any money on a table.
Subscriptions come in three sizes: 1 table, 3 tables, or Unlimited. Each size covers that many tables in total. Switching sizes swaps your plan for the new size; it does not add tables on top of your old plan.
"Unlimited" means up to 500 tables per account. It is a fair-use ceiling, disclosed here and at purchase; no account may own more than 500 tables on any plan.
You pick which tables are covered, in the app. Once a table is covered, every member of that table can use its AI features. You are unlocking a capability on shared tables you belong to, not premium status on anyone's personal account.
Any member of a table may buy the subscription that covers it. Only the subscriber pays; everyone at a covered table gets the features.
The price and billing terms (including that your plan auto-renews until cancelled) are shown before you confirm the purchase.
5.10.2 Paid-Through Dates and Changing Sizes
A covered table is locked in until its paid date. If you stop renewing, the table keeps its AI features until the date it is already paid through; the slot frees up after that.
If you switch to a smaller size, nothing is cut off early. Every table you already covered keeps its AI features until its own paid date.
5.10.3 Billing, Cancellation, and Refunds
Purchase and renewal are billed by the App Store to your Apple account, governed by Apple's terms. Manage or cancel from your device's App Store subscription settings — TableCash cannot cancel an App Store subscription for you.
TableCash cannot issue refunds for App Store purchases; refund requests are handled by Apple. If a purchase is refunded or reversed, the affected tables' AI features may be turned off.
If you leave a table you are paying for, the table's AI features remain on while your purchase is active. Any member may take over payment.
5.10.4 How AI Reads Your Content
To provide these features, the content you submit — such as a photo of a bill or a description you type — is sent to our AI provider, Anthropic (Claude), which processes it and returns a result. See our Privacy Policy for details.
AI output can be wrong. The scanner and planner are assistive only; results are shown to a person to review and correct before anything is recorded. Do not rely on AI output as accurate without checking it. AI never sets a table's goal or moves money on its own — the Creator remains the gatekeeper for all money actions (see Section 6).
Do not submit content you are not entitled to share. Avoid submitting sensitive personal information (such as card numbers, government IDs, or account numbers) in a photo; the app warns you when it detects such data, but you are responsible for what you submit.
6. Table Rules
6.1 Table Creators
The Table Creator is the organizer and designated payee of the table. Table Creators:
Define the table's stated purpose (mandatory, visible to all members)
Control who can join the table (invite-only or link sharing)
Approve or deny all distribution requests from members
Set per-member request limits: how much a member can request and how often
May transfer Creator status to another member
Keep the table's balance in their own Stripe Connected Account and can cash out at any time
Are responsible for using collected funds in accordance with the stated purpose
6.2 Contributors (Table Members)
Contributors are participants who send funds to a table. Contributors:
Can view the table balance, stated purpose, and full transaction history
Can contribute funds to the table
May request settlements (subject to Creator approval; settlements are paid off-platform by the Creator)
Can leave a table at any time
Understand that contributions are made to the Table Creator for the stated purpose, and that distributions are at the Creator's discretion
6.3 Creator Responsibility
The Table Creator is solely responsible for the use and distribution of table funds
By creating a table, you represent that the stated purpose is accurate and lawful
Misrepresentation of a table's purpose may result in account termination and reporting to authorities
TableCash is not responsible for a Creator's failure to fulfill the stated purpose
6.4 Contributor Responsibility
You are responsible for evaluating the Table Creator and stated purpose before contributing
Contributions are voluntary and made at your own risk
TableCash cannot guarantee that funds will be used for the stated purpose
Only contribute to tables managed by people you know and trust
6.5 Disputes
Disputes between Creators and Contributors must be resolved between the parties
We may provide transaction records and table purpose documentation to assist in resolution
We are not an arbiter and will not make judgments on disputes

7. Acceptable Use
7.1 You Agree To:
Use the app for lawful purposes only
Provide accurate information
Respect other users
Comply with all applicable laws and regulations
7.2 You Agree NOT To:
Use the app for illegal activities including money laundering, fraud, or tax evasion
Fund or support terrorism or prohibited activities
Circumvent transaction limits or security measures
Create fake accounts or misrepresent your identity
Harass, abuse, or harm other users
Attempt to reverse engineer the app
Use automated systems to access the service
Violate any applicable laws or regulations
8. Prohibited Activities
The following are strictly prohibited:
Money laundering or structuring transactions to avoid reporting
Fraud or misrepresentation
Funding illegal activities
Circumventing identity verification
Using the service from prohibited jurisdictions
Any activity that violates Stripe's terms of service
Gambling, lotteries, and games of chance: Using tables for raffles, betting pools, lottery-style drawings, winner-takes-all contests, or any arrangement where distribution is determined by chance rather than the Creator's discretion
Pyramid or multi-level schemes: Any table structure that requires recruitment of new contributors to pay existing members
Violation may result in immediate termination, fund freezing, and reporting to authorities.
8A. Creator Chargeback Liability
8A.1 Creator's Financial Responsibility
As a Table Creator, you acknowledge and agree that:
Contributions to your table are Destination Charges to your Stripe Connected Account
If a contributor disputes a charge (chargeback), Stripe will debit your Connected Account for the disputed amount plus any applicable fees
If your Connected Account has insufficient funds to cover a chargeback, you are responsible for covering the resulting deficit. TableCash will work with you in good faith to resolve any deficit, and will not pursue recovery against a Creator who acted honestly, cooperates with our review, and was not complicit in the disputed activity. We reserve the right to debit your Connected Account, withhold future payouts, or pursue legal remedies to recover deficits that arise from a Creator's own fraud, misuse of a table, violation of these Terms, or refusal to cooperate with our dispute review
Multiple chargebacks may result in Stripe terminating your Connected Account, which would prevent you from receiving any further contributions
8A.2 Creator's Duty to Resolve Disputes
Before a contributor files a bank dispute, we encourage resolution between Creator and Contributor. Creators should:
Respond to contribution disputes within 48 hours
Provide refunds through TableCash when a contribution was made in error
Maintain accurate records of how funds were used in accordance with the table's stated purpose
8A.3 Platform Rights on Chargeback Events
Upon any chargeback event, TableCash reserves the right to:
Immediately freeze the affected table and Creator's account pending investigation
Debit the Creator's Connected Account for the full disputed amount plus Stripe's dispute fee
Suspend all payout activity for the Creator across all tables
Report suspicious patterns to financial authorities (FinCEN SAR filing)
Permanently ban the Creator, including by identity fingerprint if the Creator has completed identity verification, if chargeback rate exceeds 1% of transactions
8B. Platform Freeze Authority
8B.1 Right to Freeze
TableCash may immediately freeze any account, table, or pending transaction without prior notice if:
We detect or reasonably suspect fraudulent activity
A chargeback or dispute is filed
Our automated systems detect anomalous patterns (velocity spikes, structuring, etc.)
Required by law, regulation, or Stripe
The account shows signs of compromise or unauthorized access
The table's ledger balance diverges from the actual Stripe balance (circuit breaker)
8B.2 Effect of Freeze
During a freeze:
No new contributions can be made to frozen tables
No payouts or withdrawals can be initiated by frozen accounts
Existing pending payouts may be paused or reversed
Table members will be notified that the table is under review
8B.3 Resolution
We will investigate frozen accounts within 5 business days
You may contact support@tablecash.io with documentation to expedite resolution
If the freeze was triggered in error, full access will be restored
If fraud is confirmed, the account may be permanently terminated
8C. Duplicate Funds and System Errors
8C.1 No Right to Erroneous Credits
If a system error, bug, or technical malfunction results in funds being credited to your account or table in excess of what you are owed:
You do not have any right or claim to such excess funds
You must notify us immediately upon discovering any discrepancy
We reserve the right to reverse, debit, or correct erroneous transactions at any time without prior notice
Intentional exploitation of a known system error constitutes fraud and may result in criminal referral
8C.2 Reconciliation Rights
TableCash performs regular reconciliation between our internal ledger and Stripe's records. We reserve the right to:
Correct any balance discrepancy at any time
Freeze accounts during reconciliation if significant drift is detected
Reverse transactions that were processed in error
Require creators to return funds that were disbursed due to system error
9. Intellectual Property
9.1 Our Property
TableCash, including its design, code, and branding, is owned by us. You may not copy, modify, or distribute our intellectual property.
9.2 Feedback
Any feedback or suggestions you provide may be used by us without obligation to you.
10. Disclaimers
10.1 "As Is" Service
TableCash is provided "AS IS" without warranties of any kind, express or implied, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free service
10.2 No Financial Advice
We do not provide financial, tax, or legal advice. Consult appropriate professionals for advice.
10.3 Third-Party Actions
We are not responsible for:
Actions of other table members
Stripe service interruptions
Third-party payment failures
Unauthorized access due to your failure to secure your account
10.4 Service Availability
We do not guarantee uninterrupted service. The app may be unavailable due to maintenance, updates, or circumstances beyond our control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE FEES YOU PAID US IN THE PAST 12 MONTHS
WE ARE NOT LIABLE FOR DISPUTES BETWEEN USERS
WE ARE NOT LIABLE FOR ACTIONS OF TABLE MEMBERS
WE ARE NOT LIABLE FOR STRIPE SERVICE ISSUES
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless TableCash, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
Your use of the app
Your violation of these Terms
Your violation of any third-party rights
Your violation of any applicable laws
Disputes with other table members
13. Termination
13.1 By You
You may close your account at any time. You must first:
Cash out any remaining balance from tables you created to your linked bank account
Leave tables you are a member of
Settle any outstanding obligations
13.2 By Us
We may suspend or terminate your account immediately if you:
Violate these Terms
Engage in fraudulent or illegal activity
Pose a risk to other users or our service
Are required by law or Stripe
13.3 Effect of Termination
Upon termination:
Your access to the app ceases
Funds will be returned per our standard procedures (minus any fees or amounts owed)
We may retain records as required by law
The following sections survive termination: Section 5 (Financial Terms, including any outstanding obligations), Section 8A (Creator Chargeback Liability), Section 8C (Duplicate Funds and System Errors), Section 9 (Intellectual Property), Section 10 (Disclaimers), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 14 (Governing Law and Disputes, including Arbitration and Class Action Waiver), and Section 16 (General Provisions)
13.4 Dormant Accounts
If your account has no login activity for 12 consecutive months, it will be considered dormant. Before taking any action:
We will attempt to notify you via email at least 30 days in advance
You may reactivate your account by logging in during the notice period
Remaining balances in dormant accounts are subject to applicable state unclaimed property (escheatment) laws
We may close dormant accounts and remit funds to the appropriate state authority as required by law
14. Governing Law and Disputes
14.1 Governing Law
These Terms, and any dispute between you and TableCash, are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except that the interpretation and enforcement of the Arbitration Agreement in Sections 14.3–14.13 is governed exclusively by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).
14.2 Informal Resolution First (Required)
Before starting an arbitration or filing any claim, you and TableCash agree to first try to resolve the dispute informally for at least sixty (60) days. To begin, send a written Notice of Dispute to support@tablecash.io describing the dispute and the relief sought. You and TableCash will attempt in good faith to resolve it. If the dispute is not resolved within sixty (60) days of the Notice, either party may begin arbitration. This informal-resolution requirement is a condition precedent to arbitration, and the statute of limitations is tolled while the parties comply with it.
14.3 Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
You and TableCash agree that any dispute, claim, or controversy arising out of or relating to these Terms, the TableCash service, or the relationship between you and TableCash (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before, during, or after the termination of these Terms) will be resolved by final and binding individual arbitration, and not in a court of law, except as expressly stated in Section 14.4 (Exceptions).
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, if the AAA is unavailable, by another established arbitration provider the parties agree on in writing) and, where applicable, its Mass Arbitration Supplementary Rules. The AAA rules are available at www.adr.org. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
14.4 Exceptions to Arbitration
Notwithstanding Section 14.3, either party may: (a) bring an individual claim in small-claims court if it qualifies; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual-property rights. Nothing in this Section prevents either party from reporting conduct to, or seeking relief from, a government agency.
14.5 Class Action Waiver
YOU AND TABLECASH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, representative, or private-attorney-general proceeding.
14.6 Waiver of Jury Trial
IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND TABLECASH EACH KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
14.7 Delegation
The arbitrator, and not any court, has the exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any claim that all or part of it is void or voidable, except that a court (not the arbitrator) decides any challenge to the Class Action Waiver in Section 14.5.
14.8 Fair Procedure (Mutual Rights)
The arbitration will afford both parties the same rights. Both you and TableCash have an equal right to reasonable discovery, to be heard, and, where the applicable arbitration rules provide one, to the same rights of appeal. No procedure or ruling will bind a party who did not receive notice and an opportunity to be heard. If a mass or coordinated set of similar claims is filed, any bellwether or batching process must apply equally to both sides and may not make any ruling binding on a claimant who was not a party to it.
14.9 Arbitration Costs
TableCash will pay arbitration filing, administration, and arbitrator fees to the extent required by the applicable AAA rules and applicable law; where those rules do not allocate fees, each party bears its own attorneys' fees and costs except as otherwise required by law or awarded by the arbitrator. If the arbitrator finds that the substance of a claim or the relief sought is frivolous or brought for an improper purpose, the allocation of fees will be governed by the AAA rules.
14.10 Location and Format
Unless the parties agree otherwise, arbitration will take place in the U.S. county where you reside, or be conducted by telephone, videoconference, or on documents only, at your election where the AAA rules permit.
14.11 Right to Opt Out
YOU HAVE THE RIGHT TO OPT OUT OF THIS ARBITRATION AGREEMENT (SECTIONS 14.3–14.10) AND THE CLASS ACTION WAIVER (SECTION 14.5). TO OPT OUT, SEND WRITTEN NOTICE TO support@tablecash.io WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST ACCEPTED THESE TERMS. YOUR NOTICE MUST INCLUDE YOUR NAME, THE EMAIL ASSOCIATED WITH YOUR ACCOUNT, AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF ARBITRATION. Opting out will not affect any other part of these Terms, and TableCash will not retaliate against you for opting out. If you opt out, disputes will be resolved in the courts identified in Section 14.1.
14.12 Severability of This Section
If the Class Action Waiver in Section 14.5 is found unenforceable as to a particular claim or request for relief, then that claim or request will be severed and decided by a court of competent jurisdiction, while all other claims will still proceed in arbitration. If any other provision of Sections 14.3–14.11 is found unenforceable, that provision will be severed and the remainder of the Arbitration Agreement will remain in full force and effect.
14.13 Survival
This Section 14 survives termination of your account and these Terms.
15. Changes to Terms
We may modify these Terms at any time. For material changes, we will:
Notify you via in-app notification or email
Provide at least 30 days notice before changes take effect
Update the "Last Modified" date
Continued use after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the app and close your account.
16. General Provisions
16.1 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
16.2 Waiver
Our failure to enforce any right does not waive that right.
16.3 Assignment
You may not assign these Terms. We may assign them to an affiliate or successor.
16.4 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and TableCash.
16.5 Electronic Communications (E-Sign Consent)
By using TableCash, you consent to receive all communications, agreements, disclosures, and notices electronically, including via in-app notifications, push notifications, and email. You agree that electronic communications satisfy any legal requirement that such communications be in writing, including under the federal Electronic Signatures in Global and National Commerce Act (E-Sign Act, 15 U.S.C. § 7001 et seq.). You may withdraw this consent by closing your account, but doing so will prevent you from using the service.
16.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, civil unrest, government actions, power or internet outages, failures of third-party services (including Stripe), or any other event that could not have been reasonably foreseen or prevented.
